Terms of Service

Welcome to PNW Small Business, the online home of the Pacific Northwest Small Business Network (the "Service"). By accessing or using the Service you agree to these Terms of Service ("Terms"). If you don't agree, don't use the Service.

1. Our role

PNW Small Business LLC operates an independent business directory, advertising, verification, lead-generation, and referral platform. PNW Small Business does not perform construction or other listed services and is not a party to contracts between consumers and listed businesses. Listed businesses independently determine their services, pricing, contracts, warranties, licensing, insurance, permits, and performance of work.

Listed businesses are independent businesses. Being listed, claimed, verified, featured, selected as a Category Partner, or receiving a customer request does not make a business an employee, agent, partner, joint venturer, or subsidiary of PNW Small Business LLC.

PNW Small Business collects membership and advertising payments for its own services only. Estimates, deposits, and project payments are handled directly between the customer and the independent business.

When you submit a quote request, PNW Small Business may introduce you to independent local businesses. Each business independently evaluates the project, sets its own pricing, issues its own estimate, enters into its own contract with you, performs the work, receives payment for the work, and is responsible for its own permits, licensing, insurance, warranties and workmanship.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. Business listings must represent a real, legally operating business in Washington, Oregon, or Idaho.

3. Accounts

You are responsible for keeping your login credentials secure and for all activity under your account. Notify us immediately at pnwsmallbusiness.com@gmail.com if you suspect unauthorized access.

4. Business listings & content

• You represent that all information you submit is accurate, current, and yours to publish.
• You grant PNW Small Business a non-exclusive, worldwide, royalty-free license to host, display, and promote your content in connection with the Service.
• We may remove any content that violates these Terms, infringes others' rights, or harms the community, with or without notice.

4a. Our editorial rights

To keep the directory consistent, useful, and accurate, PNW Small Business may create, edit, reformat, categorize, relocate, translate, summarize, crop, replace imagery for, unpublish, or delete any listing at our discretion. This includes correcting typos and contact details, rewriting or shortening business descriptions, assigning categories and service areas, setting cover images and their crop position, and adjusting listings for quality, legal, or safety reasons. We are not obligated to make, keep, or restore any edit. The verified owner of a business may request changes at any time, and we will make reasonable efforts to honor accurate, good-faith requests.

4b. Unclaimed & compiled listings

Some listings are created by PNW Small Business from publicly available information, member referrals, or community submissions, and may exist before the business has an account. An unclaimed listing does not imply any relationship, endorsement, or paid arrangement between PNW Small Business and that business. If you are the owner, you may claim your listing to correct it, or email pnwsmallbusiness.com@gmail.com to request corrections or removal.

4c. Photos & representative imagery

Where a business has not uploaded its own photos, we may display representative stock or illustrative imagery so listings render consistently. Such images are labeled as representative photos and do not depict that business, its team, its premises, or its actual work. Owners may replace them at any time by uploading their own photos. By uploading images you confirm you own them or have permission to use them.

4d. AI-assisted content

Business descriptions, headlines, category tags, and similar listing copy may be drafted or improved with AI assistance. This content is a suggestion, may contain inaccuracies, and is subject to owner review. Owners are responsible for the accuracy of their published listing and should report anything incorrect so we can fix it.

5. Acceptable use

You agree not to:

• Post false, misleading, defamatory, or unlawful content.
• Scrape, copy, or resell directory data without our written permission.
• Use the AI tools to generate illegal, harassing, or deceptive content.
• Submit fake leads, fake reviews, or impersonate another person or business.
• Interfere with, probe, or attempt to break the security of the Service.
• Send unsolicited messages to other members.

6. Leads & quote requests

The Service may forward customer quote requests to participating businesses. Memberships are advertising and directory services: they provide visibility, placement and lead opportunities, and never guarantee leads, jobs, revenue or a response. We make no guarantee about the quality, intent, or convertibility of any lead. Businesses independently price, bid, contract for and perform their work, and are solely responsible for the work they contract with consumers introduced through the Service. PNW Small Business does not collect estimates, deposits or project payments on behalf of any business.

7. AI tools

Our free AI tools produce machine-generated suggestions. Outputs are provided "as is" and may be inaccurate. You are responsible for reviewing and editing any AI output before using it in your business. Do not submit confidential information you would not be comfortable sharing with a third-party model provider.

8. Paid memberships & payments

Plans and prices. A free directory listing is always available at no cost. Paid memberships are currently offered at: Business Plus — $29 per month or $290 per year; Featured Business — $99 per month or $990 per year; Category Partner — $299 per month or $2,990 per year. Prices are in U.S. dollars and exclude any applicable taxes. We may change prices for new purchases at any time; a change to your own recurring price will be emailed to you at least 30 days before it takes effect.

Automatic renewal. All paid memberships are subscriptions billed through Stripe and renew automatically — monthly plans every month, annual plans once every 12 months — using your saved payment method, until cancelled. Annual plans are charged in full at the start of each yearly term and are not billed month to month.

Cancellation and refunds. You may cancel at any time from your dashboard or the Stripe customer portal. Cancellation takes effect at the end of the current paid period; you keep paid benefits until then. We do not provide refunds or credits for partial months, partial years, or unused benefits except where required by law.

Failed payments. If a payment fails, we retain your membership, price and any Founding Member placement for a 14-day grace period while we attempt to collect and contact you at the email on your account. If payment is not resolved within that window, the membership lapses and your listing reverts to a free listing.

Founding Member rate lock. Founding Member pricing on the Business Plus tier ($29 per month) remains locked only while your membership stays continuously active. Cancellation, lapse for non-payment, or a downgrade to a free listing ends the locked rate and releases your numbered Founding Member seat. Rejoining later is at the price then in effect, and a prior seat number is not restored. Full details are in our Founding Member Promise, which forms part of these Terms.

Verification. Verified status, badges and related placement depend on our verification checks (business registration, identity, contact details, and licensing or insurance where applicable). Verification reflects information reviewed by PNW Small Business as of the listed review date and is not a guarantee of workmanship, project outcome, customer satisfaction, or future licensing or insurance status. Paying for a membership does not by itself grant verified status. We may suspend or remove verification if information is inaccurate, expires, or cannot be confirmed; membership fees are not refundable on that basis.

Category Partner activation. Category Partner is a limited-availability advertising position that gives one business exclusive top placement and first access to matching quote requests within a confirmed category and region on this platform. It is a marketing placement only: PNW Small Business does not award, assign, supervise or control any customer project, does not act as a general contractor, and is not a party to any resulting contract. The position A purchase or expression of interest does not reserve a position until we confirm availability and activate it in writing. If a requested position is unavailable, we will offer an alternative or issue a full refund of amounts charged for that position. Exclusivity applies only to the specific category and region we confirm, is not transferable, and ends when the membership ends or lapses.

9. Termination

You may close your account at any time. We may suspend or terminate accounts that violate these Terms, abuse the Service, or pose risk to other members. Sections that by their nature should survive (IP, disclaimers, liability, dispute terms) will survive termination.

10. Disclaimers

Verification reflects information reviewed by PNW Small Business as of the listed review date and is not a guarantee of workmanship or future credential status.

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any content (including AI output and business listings) is accurate.

11. Limitation of liability

To the maximum extent permitted by law, PNW Small Business and its operators will not be liable for any indirect, incidental, consequential, special, or punitive damages, or any loss of profits or revenue, arising out of or related to your use of the Service. Our total liability for any claim will not exceed the greater of $100 or the amount you paid us in the 12 months before the claim arose.

12. Indemnification

You agree to defend and indemnify PNW Small Business against any claim arising from your content, your use of the Service, or your violation of these Terms.

13. Governing law & disputes

These Terms are governed by the laws of the State of Washington, without regard to conflict-of-law rules. Any dispute will be brought in the state or federal courts located in King County, Washington, and you consent to that jurisdiction.

14. Changes

We may update these Terms. Continued use of the Service after changes means you accept the updated Terms.
